7.5 Entire Agreement. This Agreement constitutes the entire agreement between the Parties and contains all of the agreements between Parties with respect to the subject matter hereof. OSF and SCHOOL acknowledge that in entering into and executing this Agreement, reliance has been solely upon the representations and agreements contained in this Agreement. This Agreement supersedes any and all other Agreements, either written or oral, between the Parties hereto with respect to the subject matter hereof. 7.6 Governing Law. This Agreement shall be interpreted, construed and enforced pursuant to and in accordance with the internal laws of Illinois. The Parties agree that Livingston County, Illinois is the sole and exclusive venue for any legal proceedings respectively, arising out of or in connection with this Agreement. 7.7 Severability. Except as provided in Section 7.1, the invalidity or unenforceability of any particular provision of this agreement shall not affect the other provisions hereof, and this Agreement shall be construed in all respects as if such invalid or unenforceable provision were omitted. 7.8 Waiver of Breach. The waiver by either party of a breach or violation of any provision of this Agreement shall not operate as, or be construed to be, a waiver of any subsequent breach of the same or other provision hereof. 7.9 Waiver of Construction Against Drafter. This Agreement is a result of negotiations between the Parties, none of whom have acted under any duress or compulsion, whether legal, economic or otherwise. Accordingly, the Parties hereby waive the application of any rule of law that otherwise would be applicable in connection with the construction of this Agreement that ambiguous or conflicting terms or provisions should be construed against the party who (or whose Attorney) prepared this executed Agreement or any earlier draft of the same. 7.10 Confidentiality. During OSF’s association with the SCHOOL , it may have access to confidential and sensitive information regarding specific students. Student information in schools is governed by the Family Educational Rights and Privacy Act (FERPA) and the Illinois School Student Records Act (ISSRA). These federal and state laws prohibit information from a student’s educational record to be released without prior written parent permission. OSF is prohibited from disclosing to the public the identity of any student eligible for or receiving services without the pr ior written permission of the student’s parents. 7.11 Child Abuse. If a student receiving services from OSF shares information that may indicate the student is abused or in danger, the OSF employee who receives this information shall report it immediately to the school nurse. Under the Illinois Abused and Neglected Child Reporting Act, 325 ILCS 5/1 et seq., medical providers are mandated reporters and are thereby required to report suspected child
