and after consultation with the other party, and thirty (30) days written notice to the other party, the Parties shall renegotiate the portion of the Agreement that creates the violation of the Laws. If Parties fail to reach an agreement within ninety (90) days following said written notice, this Agreement shall terminate. 7.2 HIPAA Compliance. SCHOOL acknowledges and agrees that documentation of any healthcare services performed under this Agreement shall be maintained by OSF in accordance with HIPAA and all other applicable laws, and shall only be disclosed to SCHOOL as permitted by law (which may require appropriate authorization). OSF and SCHOOL agree that, to the extent either party submits electronic bills to health plans for services rendered or otherwise electronically transmits information in connection with transaction such that privacy, security, or transaction and code set requirements of HIPAA may apply, such party shall comply with HIPAA. 7.3 Notice. Any notice, demand or other communication required, permitted, or desired to be given hereunder shall be deemed effectively given when delivered in person or when sent by United States Certified Mail, postage prepaid return receipt requested and addressed to:

7.4 Changes or Modifications. No change or modification of this Agreement shall be valid unless the same shall be in writing signed by OSF and SCHOOL. No waiver of any provision of the Agreement shall be valid unless in writing and signed by the person or party against whom charged.
