services provided by each party. Each party shall notify the other thirty (30) days prior to the termination of modification of such policies.

VI.

TERM AND TERMINATION.

6.1 The term of this Agreement shall commence on AUGUST 1, 2024, for a period of one (1) year therefrom (“Initial Term”) at which time this Agreeme nt shall automatically renew for additional one (1) year periods thereafter, unless either party is notified in writing at least ninety (90) days in advance of non-renewal by the other party, unless sooner terminated as provided under Article VI of this Agreement.

6.2 This Agreement may be terminated sooner on the first to occur of the following:

a. In the event the Parties hereto shall mutually agree in writing, this Agreement may be terminated on terms and date stipulated therein;

b. In the event either party shall give written notice to the other that such party has substantially defaulted in performance of any obligation under this Agreement and such default shall not have been cured within thirty (30) days following receipt of such notice, the party giving notice shall have the right to immediately terminate this Agreement; or c. In the event either party, with or without cause, desires to terminate this Agreement, such party shall provide no less than sixty (60) days written notice of termination, with termination effective as of the date set forth in such notice. 6.3 Upon termination of this Agreement as herein provided, neither party shall have any further obligations hereunder, except for obligations accruing prior to the date of termination of this Agreement, and obligations, promises, nor covenants contained herein which are expressly made to extend beyond the term of this Agreement. 7.1 Regulatory Compliance. The Parties agree that this Agreement is intended to comply with all applicable state and federal laws, rules, regulations, and accreditation standards, including but not limited to, the Medicare and Medicaid Fraud and Abuse Statute and Regulations, and standards of accrediting bodies including Joint Commission Standards, and all regulations concerning the use of facilities financed with tax exempt bonds (“Laws”). If at any time this Agreement is found to violate any applicable provision of these Laws or if either party has reasonable belief that this Agreement creates a material risk of violating the Laws
