SERVICES AND SPONSORSHIP AGREEMENT between OSF HEALTHCARE SAINT JAMES – JOHN W. ALBRECHT MEDICAL CENTER and PONTIAC TOWNSHIP HIGH SCHOOL THIS SERVICES AND SPONSORSHIP AGREEMENT (“Agreement”) is made and executed on the last date written below, by and between OSF HealthCare Saint James – John W. Albrecht Medical Center, an Illinois not-for-profit corporation (“OSF”) and PONTIAC TOWNSHIP HIGH SCHOOL (“SCHOOL”) (individually, a “Party” and collectively, the “Parties”).

R E C I T A L S:

A. WHEREAS, SCHOOL is a high school with various school-sponsored athletic activities and teams which needs certain healthcare services, specifically pre-participation sports physicals and athletic training services (“Services”), for its students that participate in these school sponsored athletics (“Students”). SCHOOL desires to make OSF a provider of Services for Students;

B. WHEREAS, OSF desires to provide Services for the benefit of Students in accordance with the terms of this Agreement;

C. WHEREAS, SCHOOL desires to provide to OSF certain marketing and sponsorship benefits as partial consideration for the provision of Services, subject to and in accordance with the terms of this Agreement; and

D. WHEREAS, SCHOOL and OSF mutually desire to enter into this Agreement.

NOW THEREFORE, in consideration of the mutual covenants and agreements herein contained, the Parties hereto, intending to be legally bound, agree as follows:

I.

APPOINTMENT.

SCHOOL hereby agrees to retain OSF to be a provider of Services for Students, including, but not limited to, being the exclusive provider of on-premises pre-participation sports physicals for Students, and a part-time provider of athletic training services. SCHOOL hereby acknowledges that all services provided by OSF hereunder shall be provided in accordance with OSF policies, the Ethical and Religious Directives for Catholic Health Care Services, as amended from time to time, promulgated by the United States Conference of Catholic Bishops, as interpreted and applied by OSF, and the terms of this Agreement.
